“The House of Venakki” is the brand under which Venakki Limited and the companies it owns operate and provide products and/or professional services. Together, these companies form THE HOUSE OF VENAKKI. “Venakki” refers to the brand, to its products, or to the individual companies within the group, or to several or all of them collectively.
The parent and its ownership
Venakki Limited is a Hong Kong private company limited by shares and is the parent and holding company of the group. The companies through which the House operate are owned, directly or indirectly, by Venakki Limited, whether wholly or through a controlling interest. Venakki Limited holds the group’s brands and intellectual property and directs group-wide policy in areas such as brand stewardship, strategy, logistics, research and development, and quality control. Its registered office is Unit 506, 5/F, New World Tower 1, 18 Queen’s Road, Central, Hong Kong, under Business Registration No. 59509516000.
The companies in the group
The companies in the group carry on business as separate legal entities, each incorporated in its own jurisdiction and each owned or controlled by Venakki Limited. Certain of these companies have legally registered names containing “Venakki” and use the Venakki name, resources and methodologies under the ownership and authority of Venakki Limited. In return, they abide by the common policies and maintain the standards of the House as put forward by Venakki Limited. Venakki Limited may incorporate or acquire further companies from time to time, which will form part of the group on the same basis.
Separate legal personality
Although the companies in the group are under the common ownership of Venakki Limited, each is a distinct legal entity, responsible for its own acts and omissions and for its own obligations. A contract entered with one company in the group is a contract with that company alone and does not bind any other company in the group, save where that other company is expressly named as a party. Save where expressly authorized in writing, no company in the group acts as agent for another. This separation of legal personality is a deliberate feature of the group’s design and protects each part of the House.
Sovereignty and governing framework. The House of Venakki is headed by Venakki Limited and is answerable, at group level, to the Hong Kong Special Administrative Region. The ownership, brand and coordination arrangements of the group are established under, governed by, and construed in accordance with the laws of the Hong Kong Special Administrative Region, and the courts of that Region shall have exclusive jurisdiction over any matter arising out of or in connection with them. Each company additionally observes the laws of the jurisdiction in which it is established and conducts its business, to the extent those laws require it.
